Subject to price adjustment

At present, our suppliers are not prepared to agree a binding price with us when purchasing the components that are also required for assembling the product you have ordered. Instead, we are forced to accept the price set by the supplier upon delivery of the components. The actual purchase price of the component is therefore not foreseeable for us when calculating our prices. We cannot base our calculation on the actual purchase prices. Therefore, in addition to the provisions on price adjustment for continuing obligations in accordance with § 6 (6) of the General Terms and Conditions of Thomas-Krenn.AG, the following price adjustment right of Thomas-Krenn.AG also applies to individual orders:

Thomas-Krenn.AG is entitled to adjust the price agreed with its customer for the product purchased by the customer if the costs of purchasing electronic components or the object of purchase from the suppliers of Thomas-Krenn.AG, which are decisive for the price calculation, demonstrably increase or decrease after conclusion of the contract. This does not apply if and to the extent that the cost increase is offset by cost reductions in other cost types relevant for the price calculation (in particular for licenses, maintenance, energy, personnel or transport). The price adjustment shall only be made to the extent that the procurement costs of the components relevant for the manufacture of the product purchased by the customer have changed. If the procurement costs of the relevant components are reduced, Thomas-Krenn.AG will pass on the resulting advantage to the customer by reducing the purchase price agreed with the customer, provided that the cost reduction is not offset by an increase in other relevant cost types.

Thomas-Krenn.AG will immediately inform the customer of the relevant change in costs and the resulting adjustment to the purchase price agreed with the customer and disclose this to the customer. The customer then has the right to withdraw from the concluded contract by written declaration within three working days of receipt of the notification of the price change if the originally agreed purchase price for the entire product purchased by the customer (and not just individual items of the product or individual components) increases by more than 8% as a result of the price change. Section 16 (1) of our General Terms and Conditions applies to compliance with the written form requirement. The declaration of withdrawal must be sent by e-mail to info@thomas-krenn.com.

Otherwise, the agreements made in the purchase contract and the provisions in our GTC shall remain unaffected and shall continue to apply unchanged.

Additional clause for buyers/customers based abroad:

In deviation from § 16 para. (3) of our GTC, the substantive law of the Federal Republic of Germany shall apply , including the United Nations Convention on Contracts for the International Sale of Goods of 11.4.1980 (CISG).
